Acceptance of Terms

By accessing this website, submitting an inquiry, booking a consultation, or signing a service agreement with MarketplaceGrow, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. You also confirm that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or the business you represent.

These Terms apply to all visitors, users, and clients of our website and services, regardless of how they access or use them.

Description of Services

MarketplaceGrow provides eCommerce automation, store management, and growth services across marketplaces including Amazon, Walmart, Shopify, TikTok Shop, eBay, and Etsy. Depending on the package or agreement you select, services may include store setup, product research, listing optimization, PPC management, account management, private label support, and related consulting.

• Services are performed on a best-efforts basis using industry knowledge and available data at the time of delivery.
• Specific deliverables, timelines, and pricing are defined in your individual service agreement or proposal, which takes precedence over general descriptions on this website.
• We reserve the right to modify, pause, or discontinue any service offering at our discretion, with reasonable notice to active clients.

Client Responsibilities

To help us deliver effective results, clients agree to:

• Provide accurate, complete, and timely information needed to set up or manage their store(s).
• Maintain valid access credentials and grant necessary permissions for the platforms and tools we manage on their behalf.
• Comply with the terms of service of any third-party marketplace or platform (e.g. Amazon, Walmart, Shopify, TikTok Shop, eBay, Etsy) connected to our services.
• Make payments for services rendered according to the agreed schedule.
• Promptly notify us of any changes to business information, ownership, or account access that could affect service delivery.

Fees & Payment Terms

Pricing for our services is outlined in your individual proposal, package selection, or service agreement. Unless otherwise stated in writing:

• Fees are due according to the payment schedule specified in your agreement (e.g. one-time setup fee, monthly management fee, or performance-based fee).
• Late or failed payments may result in a pause or suspension of services until the account is brought current.
• All fees are non-refundable once work has commenced, except where explicitly stated otherwise in your specific agreement.
• Any third-party costs (such as advertising spend, marketplace fees, software subscriptions, or shipping costs) are separate from our service fees and are the responsibility of the client unless otherwise agreed.

Intellectual Property

All content on the MarketplaceGrow website — including text, graphics, logos, and design elements — is the property of MarketplaceGrow or its licensors and is protected by applicable copyright and trademark laws. You may not copy, reproduce, or reuse this content without our prior written consent.

Any brand assets, product listings, store designs, or marketing materials created specifically for a client as part of a paid engagement become the property of that client upon full payment, unless otherwise specified in the service agreement. MarketplaceGrow retains the right to showcase completed work in its own portfolio and marketing materials unless the client requests otherwise in writing.

Confidentiality

We treat every client relationship as confidential. Business information, financial details, and strategies shared with us in the course of providing services will not be disclosed to third parties without your consent, except where required by law or necessary to deliver the agreed services (for example, coordinating with a marketplace's support team on your behalf).

Ownership of your business, its revenue, and its underlying assets remains solely with you at all times.

Disclaimers

While we bring proven strategies and hands-on experience to every engagement, MarketplaceGrow does not guarantee specific sales figures, rankings, account approval outcomes, or profit levels, as these depend on factors outside our control, including marketplace policies, market conditions, and product demand.

Our website and services are provided "as is" without warranties of any kind, either express or implied, to the fullest extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, MarketplaceGrow and its team shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, revenue, data, or business opportunity — arising from your use of our website or services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you to MarketplaceGrow in the three (3) months preceding the event giving rise to the claim.

Termination

Either party may terminate an active service agreement according to the notice period specified in that agreement. Upon termination:

• Any outstanding fees for work already performed remain due and payable.
• Access credentials and account permissions granted to MarketplaceGrow will be revoked or returned as appropriate.
• Sections of these Terms relating to intellectual property, confidentiality, and limitation of liability will continue to apply after termination.

We reserve the right to suspend or terminate services immediately in cases of non-payment, misuse of our services, or violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Missouri, unless otherwise agreed in a specific service contract.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Updated versions will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
